Sr Director of Technical Accounting and Financial Reporting

Delek US Holdings, Inc. is a diversified downstream energy company with assets in petroleum refining, logistics, asphalt, renewable fuels and convenience store retailing. We are hiring for the position of Senior Director, Technical Accounting and Financial Reporting located in our Brentwood, Tennessee corporate office or remote.

 

Under the direction of the Vice President of Technical Accounting and Financial Reporting, the Senior Director of Technical Accounting and Financial Reporting will be responsible for helping the VP to develop and manage strategic initiatives for the team and aligning them to the company’s strategies and objectives; for overseeing, coordinating or performing complex and/or sensitive technical accounting, transaction and financial reporting requirements; for consulting with senior management on transactions and technical accounting implications; for helping to ensure timely and compliant filing of all SEC periodic and current reports (i.e., Forms 10-Q, 10-K and 8-K) pursuant to all GAAP and SEC requirements; for assisting with communications with the Audit Committee(s) of Delek US Holdings, Inc. (NYSE: DK) or Delek Logistics Partners LP (NYSE: DKL); and for assisting with interactions with Investor Relations and reviewing the propriety of non-GAAP disclosures in our earnings releases and investor presentations, all at the direction of the VP. The Senior Director will also be responsible for ensuring that team goals are appropriate, that we are meeting them collectively, that we are managing workload and responsibilities and rebalancing them when appropriate, and that we are helping them achieve their career development goals. The Senior Director will help oversee the direction of the Technical Accounting and Financial Reporting team working closely with the VP and with our two Directors, and will directly lead and supervise applicable team members on complex and strategic transactions and initiatives, based on the nature of those activities.

Role & Responsibilities:

Technical Accounting Responsibilities:

  • Researching and recommending accounting treatment, including the preparation and review of position memos, for our complex transactions and other business initiatives and ensuring concurrence, where applicable, from our external auditors;
  • Providing technical accounting consultation to senior management on significant transactions before they are executed, performing ad hoc research to advise management on the possible accounting implications, and advising on potential provisions and/or structure changes that can result in more favorable accounting treatment;
  • Considering our technical accounting positions at a macro level to ensure that none of our new transaction-specific positions put other positions/historical treatment at risk, or if they do, that we do so with intention and consideration of potential restatement or other SEC reporting risk;
  • Proactively identifying technical accounting risks that may arise in the future because of expected changes in accounting standards, contract provisions, the nature of transactions, etc., performing or coordinating research on the implications, and developing recommendations for how to manage that technical accounting risk and/or to manage related disclosure/market risk; and
  • Reviewing and providing guidance and/or comments on technical accounting work and memos completed by others on the team, which may include those that relate to transactions but may also include the more complex routine matters, such as goodwill impairment analysis, equity method investment memos, etc.

 

Financial Reporting Responsibilities:

  • Assisting in the direction of the completion of financial reporting requirements of the Company in accordance with internal policies and US GAAP, which may include the preparation and/or review of the Company’s 10-K, 10-Q, and 8-K filings, among others;
  • Helping oversee the management of the SEC reporting tool functionality and transformation initiatives as well as how they integrate with our ERP or other systems, and taking into account internal control requirements and system limitations and requirements;
  • As needed, assisting with responding to SEC comment letters, evaluating and drafting preferability letters for material changes in accounting policy, and developing approaches for and drafting SEC clearance letters; 
  • Coordinating with legal and HR on preparation of the proxy (which is managed by SEC counsel/HR) and overseeing the preparation of the financial reporting components of the proxy; and
  • As needed, assisting with interactions with Investor Relations and SEC Counsel regarding the propriety and accuracy of non-GAAP disclosures in our earnings releases and investor presentations.

 

Capital Markets and M&A Transactions Responsibilities:

  • As debt, equity, mergers, acquisitions or dispositions transactions arise, the Senior Director may be asked to lead some or all of the following activities:
    • Developing a technical accounting/financial reporting project/transaction plan and identifying the risk areas to be addressed;
    • Coordinating technical accounting review/valuations of all of the identified areas, andreviewing work performed by others in the group and providing comments;
    • Consulting with senior management before execution, as required, and exploring and proposing technical accounting options;
    • Researching and developing arguments for certain of the more complex accounting positions and drafting supporting memos;
    • Presenting findings and recommendations to senior management; and/or
    • Leading and/or actively participating in the preparation/completion/review of agreements, prospectuses and related filings, completion of comfort letter procedures and other financial due diligence procedures.  

 

Other Responsibilities:

  • Being able to work well in a team environment where individual project leads may be based on specific team member experience and expertise rather than necessarily on functional hierarchy, where work may be redistributed to balance work load and tasks that are not normally assigned may temporarily or permanently become the Senior Director’s responsibility, where we leave titles at the door, and where the Senior Director’s work may, at times, be reviewed by a Director or Senior Manager (or others), based on specifically relevant experience and availability;
  • Helping lead a team of direct/indirect reports; provide functional leadership by fostering teamwork, providing coaching and developing team members;
  • Being flexible and adaptable regarding changes in responsibilities that may arise based on business needs or team considerations, as determined by the VP;
  • Helping manage communications and relationship with external auditors on external financial statements and accounting issues to ensure auditor agreement with company decisions on accounting disclosures and issues, and to facilitate cooperative and effective working relationships;
  • Performing, documenting, and updating internal controls associated with the assigned functions and responsibilities, and also considering changes in our processes and the impact on internal controls;
  • Working with our SOX Internal Controls group when control issues are identified, or when changes to controls are necessary, to ensure that our controls are designed effectively, documented appropriately, that deficiencies are appropriately documented, evaluated, and mitigated, and that they operate effectively on an ongoing basis; and
  • Assisting with communications to senior management and the Audit Committee(s), as needed, at the direction of the VP. 

 

 

Required Qualifications – Education, Skills & Experience:

  • Bachelor’s or master’s degree in Accounting required.
  • Extensive knowledge of SEC rules and regulations required.  
  • Active CPA license required.
  • Minimum of 12-15 years’ relevant experience with significant focus on public company financial reporting (SEC registrants) and technical accounting research and documentation required.
  • Downstream oil and gas experience required, including experience with commercial commodity derivatives and related transactions.
  • Big 4 or next tier (BDO, Grant Thornton, etc.) public accounting experience required.
  • Minimum of 5-7 years’ management/leadership experience in a relevant industry financial reporting or technical accounting role and/or in public accounting.
  • Debt and/or equity transaction experience and registration statement experience required.
  • Working knowledge of basic SOX internal control requirements.
  • Ability to interact effectively and collaboratively with C-level executives, SEC counsel, investor relations, operations, board members and external auditors required.
  • Demonstrated strong leadership, organization, time management and communication skills required.
  • Proficiency with MS Office required.

 

Preferred Qualifications – Education, Skills & Experience:

  • Midstream oil and gas experience preferred.
  • Mergers and acquisition experience preferred.
  • Experience with Workiva WDesk or similar SEC reporting platform preferred.
  • Experience with ERP systems such as SAP a plus.
