Sr Legal Counsel, Business/Commercial

We are hiring for the position of Senior Legal Counsel, Business/Commercial located in our Brentwood, Tennessee corporate office.


This transactional attorney position will involve direct interaction with personnel at all levels of the organization, with a high degree of responsibility and autonomy. This position will work on a broad range of challenging and sophisticated legal matters, with a focus on industry-specific commercial agreements. A successful Legal Counsel should be able to anticipate business needs and legal developments and advise business management on the legal implications of their activity and transactions.  Other key attributes include the ability to quickly prioritize legal issues, while helping our businesses achieve their goals while minimizing risk.

Role & Responsibilities:

  • Review, draft and negotiate commercial agreements, including acreage dedication and midstream crude gathering agreements, pipeline throughput agreements, storage tank lease agreements, crude or refined products purchase or sale agreements, and other industry-specific agreements.
  • Participate in and contribute to a broad range of M&A, joint venture and other strategic transactions, including due diligence and drafting, review and negotiation of purchase and sale and joint venture agreements as well as related transactional documents.
  • Provide general legal advice to client groups, with an emphasis on advising the business unit in developing overall commercial strategy. 
  • Evaluate the needs and goals of clients with respect to a variety of issues, identifying risks, balancing clients’ needs and goals against risk, and devising a business practical, creative solution for achieving clients’ goals while minimizing risk.
  • Interpret contract terms and conditions, and advising client as to contract obligations, remedies and options.
  • Independently handle and keep track of a large and fluctuating number of matters/projects. Must have experience handling projects on a time sensitive basis.
  • Advise clients regarding the pre-litigation resolution of disputes, including interpreting applicable contract terms and conditions, assessing counterparty failures, developing a creative strategy for addressing disputes, and assisting clients in negotiating dispute resolution.
  • Efficiently and effectively consult with and managing outside counsel on issues requiring outside expertise, while doing so in a cost-effective manner.
  • Overall, assist and support the Law Department in a very fast-paced but collegial corporate legal environment.


Required Qualifications – Education, Skills & Experience:

  • Juris Doctor (JD) Degree with strong academic performance

          Admission and good standing in at least one state (if not Tennessee, then eligibility for the Tennessee In-House Counsel Limited Licensure)

  • Minimum of 3 years of attorney level work.
  • Have an in-depth exposure of state and federal environmental laws, including environmental compliance and regulations, environmental transactions, as well as environmental enforcement and litigation.
  • Excellent analytical, problem-solving, negotiation, drafting and communication skills.
  • The ability to confidently interact with colleagues and adversaries and to translate difficult legal principles into practical business solutions.
  • Quick learner with a high degree of common sense and resourcefulness.
  • The ability to work independently and prioritize multiple time-sensitive tasks with an attention to detail and accuracy.
  • Highest levels of integrity, discretion and maturity.
  • Strong verbal skills and superior grammatical and writing skills.
  • Strong PC skills (Microsoft Office Suite; Excel; Share Point).


Preferred Qualifications – Education, Skills & Experience:

  • Experience in commercial transactions and drafting/negotiating a wide range of agreements and documents preferred.
  • Candidates should also be able to analyze the applicability of federal and state environmental statutory and regulatory requirements.
  • Some experience in corporate M&A transactions, joint ventures or other general corporate, limited liability company or limited partnership matters is preferred, but not required.
  • International experience preferred, but not required.
